Early-Access Reservation Terms

Your reservation

A valid registration reserves one position among the first 2,000 eligible early-access participants. A reservation:

• Is personal to the email address submitted and cannot be sold or transferred.
• Does not provide immediate access to ShapeFive or any particular feature.
• Does not create an account, purchase, subscription, or obligation to buy.
• Does not authorize an automatic charge now or in the future.

You must provide an email address that can receive our messages. We may remove duplicate, automated, fraudulent, inactive, or abusive reservations and may correct queue errors made by the reservation system.

What ShapeFive is intended for

ShapeFive is being developed as a service for requesting, exchanging, organizing, and delivering legitimate project files. It is not intended to be an unrestricted file-hosting service.

Access to the preview will be subject to separate Preview Terms and acceptable-use rules. Those rules will prohibit using ShapeFive to upload, request, store, or distribute illegal material; malware; fraudulent, abusive, exploitative, infringing, or non-consensual material; material intended to cause or facilitate harm; and adult or sexually explicit content.

An early-access reservation does not create a right to use ShapeFive for prohibited material. Montgomery House LLC may decline or revoke access when reasonably necessary to enforce these restrictions, protect people or the service, or comply with law.

Your invitation

If ShapeFive launches and continues accepting preview users, each valid reservation is guaranteed an invitation. Invitations may be sent in stages according to queue position and operational capacity.

The invitation remains subject to your continued eligibility, applicable law, geographic availability, a working email address, and compliance with these Terms. Paid access will be available only where ShapeFive and its merchant-of-record provider make checkout available.

You must use the invitation email within 14 days after we send it. If you do not, the invitation and its promotional eligibility may expire. We may resend or extend an invitation at our discretion.

We currently estimate that the first preview will launch within 30 days after these Terms become effective. That is a good-faith estimate, not a guaranteed release date.

Plans and anticipated pricing

ShapeFive currently expects to offer generally available subscription plans called Basic, Plus, and Business. Plan names, standard prices, storage allowances, features, and availability may change before or after preview launch. Registering does not purchase a plan or guarantee that a particular plan, feature, price, or launch date will be available.

The anticipated Business plan is $300 per month and includes five users, 10 TB of storage, user and permission management, and the full Plus workflow. Additional users are anticipated to cost $4 per user per month, and additional storage is anticipated to cost $2.50 per 100 GB per month. ShapeFive does not currently offer annual billing for the generally available Business plan.

Enterprise is a separately negotiated annual arrangement within ShapeFive’s Business offering. Depending on the agreement, it may include larger user counts or storage allocations, single sign-on through the customer’s identity provider, dedicated infrastructure, a customer-owned sending domain and sender address, or other tailored capabilities. Enterprise features are available only when included in the applicable agreement.

If you later choose to subscribe, the price and features presented at checkout will apply, subject to the early-access discount described below. You will have an opportunity to review and accept separate Preview Terms before creating a paid subscription.

Early-access discount

If you register within the first 2,000 valid positions and begin a paid subscription through your invitation within its 14-day acceptance period, your qualifying account will receive 15% off the then-current standard subscription price of every generally available ShapeFive account plan.

The discount currently applies to the plans called Basic, Plus, and Business. It will continue to apply if those plans are renamed, repriced, replaced, or reorganized, and it will apply to other generally available ShapeFive account plans introduced in the future.

The discount does not apply to an Enterprise arrangement. “Enterprise” means a separately negotiated contract that is not broadly offered to ShapeFive customers on standard terms, particularly an arrangement involving customized pricing, terms, support, implementation, capacity, or services for larger-scale use. Calling a broadly available standard plan “Enterprise” does not, by itself, exclude that plan from the discount.

The benefit is a continuing 15% discount from the applicable plan’s then-current standard price, not a permanently fixed dollar price. At the anticipated $300 standard monthly price, the discounted Business subscription would be $255 per month. The discount does not apply to taxes, additional users, additional storage, separately priced add-ons, or products that are not ShapeFive account subscription plans.

The discount follows the qualifying account through eligible plan changes, subscription cancellation, and temporary payment failure. It cannot be transferred and cannot be combined with another promotion unless that promotion expressly permits it.

This promotion applies only to generally available account subscription plans for the ShapeFive service described in these Terms. It does not apply to another product or service offered separately by Montgomery House LLC or an affiliate, including consulting, custom development, implementation, professional services, standalone software, or another separately priced service, even if it works with ShapeFive or uses related branding. Renaming, replacing, or reorganizing a generally available ShapeFive account plan does not make that plan a separate service solely for the purpose of avoiding this discount.

ShapeFive may change or discontinue this promotion for people who have not yet made a valid reservation. A change will not remove the discount from a valid reservation or qualifying account that earned it before the change takes effect.

For a qualifying account, the discount ends only if the account is permanently deleted; the account is terminated for fraud, abuse, or another material violation; the reservation or discount was obtained improperly; ShapeFive permanently discontinues the applicable subscription service; or continuing the discount becomes unlawful. The discount does not apply to a separately negotiated Enterprise arrangement.

Reservation emails

We will use the submitted email address only to administer the reservation. We may send a confirmation, material queue or eligibility updates, the invitation, security or fraud notices, and notices about changes that affect this reservation or these Terms.

Registering does not subscribe you to a marketing mailing list. We will not use the reservation email to send newsletters, general product promotions, cross-sells, or third-party advertising.

Changes and availability

ShapeFive is still being developed. Features, plan names, public availability, and the timing of invitations may change before preview access begins. Any future purchase or use of the product will require separate Preview Terms and a clear opportunity to review the applicable price before payment.

We may update these Reservation Terms. We will email you before a materially adverse change takes effect, except when an immediate change is reasonably necessary for security, abuse prevention, or legal compliance. If you do not agree to a change, you may ask us to remove your reservation.

Legal terms

The reservation system is provided on an “as is” and “as available” basis. To the extent permitted by law, Montgomery House LLC disclaims implied warranties relating to the reservation system and is not responsible for delay or failure caused by an incorrect email address, email filtering, service-provider failure, events outside our reasonable control, or a decision not to launch ShapeFive.

To the extent permitted by law, Montgomery House LLC’s total liability arising from the reservation or these Terms will not exceed $100. This limitation does not exclude a right or liability that applicable law does not allow us to exclude or limit.

Texas law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, you and Montgomery House LLC agree to provide written notice and attempt in good faith to resolve the matter informally for 30 days. This does not prevent either party from seeking urgent injunctive relief or bringing an eligible small-claims action.

Any claim not resolved informally must be brought in a state or federal court with jurisdiction in McLennan County, Texas. These Terms are the complete agreement concerning the early-access reservation and do not govern future product use.
